In this position, you will be responsible for ensuring seamless investment operations, maintaining compliance, mitigating risks, and directly contributing to the growth of our portfolio companies and the firm.The ideal candidate is a seasoned legal professional with a strong track record in managing cross-border investments and fund legal matters, along with exceptional communication skills, attention to detail, and the ability to adapt and learn in a fast-paced environment.Key ResponsibilitiesInvestments (35%)
- Review investment documents and support due diligence, negotiation, and deal closing.
Fund Management (25%)
- Review marketing and diligence materials, support legal negotiations, and verify information for regulatory filings.
Portfolio Company Matters (20%)
- Handle routine legal reviews, approvals, and compliance-related matters for portfolio companies.
Compliance (10%)
- Develop and review internal compliance policies.
- Advise management on potential legal risks and implement action plans in response to compliance issues.
- Ensure all employees stay informed on regulatory updates and compliance processes.
Commercial Agreements (10%)
- Draft and review templated or third-party service and commercial agreements with key clients and vendors.
Ideal Profile
- You have a law degree from a reputable university and bar admission in Singapore and/or the U.S.
- You possess at least 5 years of experience in a law firm and/or as in-house counsel.
- You have prior experience managing or supporting private capital investments (venture capital, private equity) and/or private capital funds, which will be a significant advantage.
- You demonstrate strong expertise in fund structuring, capital calls, distributions, and regulatory filings.
- You have hands-on experience in reviewing, drafting, and negotiating investment agreements, term sheets, and commercial contracts.
- You are proficient in legal due diligence and risk assessment for cross-border investments.
- You have outstanding English communication skills, both written and verbal, with the ability to build strong relationships with internal and external stakeholders.
- You excel in project management, with a proven ability to handle multiple deadlines and complex priorities effectively.
- You are passionate about early-stage tech and venture capital.
