Job description: Job titleLegal Counsel Logistics & ComplianceGradeStreamPRIFunctionLegalLocationOman – MuscatBudget control*OPEX and/or CAPEX and/or Revenue amount as relevant*Reporting toVP Legal – Commercial & Downstream AssetsDirect Reports0Job purposeLead Legal Counsel for Commercial & Downstream Business Unit – Logistics and Utilities, and act as Single Point of Accountability and Centre of Excellence for the whole Commercial & Downstream (C&D) Strategic Business Unit (SBU) on Legal Compliance by: (1) Advising the Logistics/Utilities Businesses on legal matters and assisting in decision-making processes providing legal assessments and opinions on all related business activities, including policies and procedures relating to legal compliance and (2) Ensure Legal Compliance and controls are in place for all C&D units / assets (in particular polymer marketing); in order to ensure compliance with laws and regulations, to manage legal risks, and protect the C&D SBU legal interests and risks.The position will act in accordance with the Group’s Mission, Vision, Values & Strategies, as well as, policies, guidelines, and international standards, supported by an IT Technology platform, HSE standards, Omani’s government and other legal jurisdictions, and best international practices in consonance with national objectives.Main tasks and responsibilitiesAccountabilities:Logistics/Utilities
- Assists the companies forming part of the Utilities and Logistics businesses and assets/clusters in all legal matters, prepare, review and advice on contracts, corporate and commercial documents, negotiations and providing legal opinions and assessments on a variety of business and commercial contracts, as well as liaising with external legal counsels and various government authorities and bodies from time to time in order to minimise, mitigate and manage exposure and potential liabilities and risks.
- Represents legal department in informal and formal meetings, taking minutes of meetings and ensure actions are followed up and completed.
- Conducts legal research and analysis on a variety of topics and prepared internal memos, opinions, advice and notes for the business and management to consider.
- Act as a focal point in dealing with external lawyers by selecting and recommending appointments of all external legal counsel, managing and coordinating the use of their services including effectively managing legal costs within agreed technical and cost parameters and with applicable procurement policies.
- Assist with any other legal and compliance tasks assigned by management.
Legal Compliance
- Ensure that Commercial & Downstream employees are aware of relevant laws and regulations impacting the business.
- Develop a compliance framework and in conducting compliance risk assessments across the SBU (Commercial and Downstream Assets).
- Assists in setting compliance policies, procedures, and standards and conducts/performs required awareness sessions/trainings.
- Implement all required legal and regulatory compliance policies, timelines, methodologies, standards, and guidelines and identify and report non-compliance & violation issues.
- Collaborates and liaise with other departments (e.g., Assurance, Risk, Internal Audit, Ethics, Marketing, People, etc.) to communicate compliance issues to appropriate existing channels for investigation and resolution.
- Keeps the Compliance framework/policies and calendars robust and updated with the requirements of emerging local and international laws & regulations, as applicable, and changes therein. Manages day-to-day operation and updates of the framework.
- Maintains current and up-to-date knowledge of relevant applicable laws and report to management and stakeholders any amendments or changes or important updates or requirements and provide required recommendations to enhance compliance framework.
- Assesses and advises on the adequacy of company policies and internal procedures to ensure compliance with laws and regulations, and facilitate their development such as Sanctions, Anti-trust/ competition, Anti Bribery & Corruption, Conflict of Interest, Fraud Management, ethical conduct, etc.
- Advises on and assists other departments in implementing proper reporting of violations or potential violations of company policies and procedures, code of conduct and laws & regulations.
- Provides and interprets legal information, conduct trainings and presentations, and disseminate appropriate legal and compliance requirements to staff.
Negotiations
- Lead and support in negotiations of material agreements across a wide variety of transactions and discussions in the Utilities and Logistics business units and assets.
- Support restructuring and divestitures and related transactions, working closely with other departments, such as finance and operations, to assess the commercial viability of the transaction(s), assist in negotiations and manage the legal and regulatory aspects of the transaction(s).
Contracts
- Assist in managing material contracts to support Utilities and Logistics business units and assets to conduct their operations.
- Drafting and negotiations of contracts in the Logistics and Utilities clusters to ensure that they are legally binding and enforceable and allocates legal risks between the contracting parties effectively.
- Set the strategy for contractual negotiation and documentation for the interest of Logistics and Utilities clusters.
Risk Management
- Conducting legal research, developing risk management strategies, and providing guidance on new initiatives.
Disputes
- Managing and advising on disputes that might arise in Logistics and Utilities clusters, whether they involve customers, suppliers, or other stakeholders.
- Oversee and advise on litigation and dispute settlement activities and manage instructions to external counsel, under leadership of VP Legal C&D.
Stakeholder
- Works closely with Senior Management in shaping the business strategy of the Logistics and Utilities clusters.
- Manage relationships with key stakeholders, particularly governmental authorities, and regulators, as well as external legal counsels and consultants.
Continuous Improvements and Innovation
- Design and implement digital transformation initiatives & embrace technology that enhance the efficiency of legal processes, improve collaboration and communication, and increase the accuracy and consistency of legal advice.
- Continuously reviewing and improving legal processes, such as contract management and dispute resolution, to reduce costs, increase efficiency, and improve outcomes.
- Identify trends and patterns that may be useful in improving legal processes, identifying risks, and optimizing legal outcomes.
- Guide and provide high support on planning, budgeting, forecasting, and reporting practices / set of processes, as well as, documents, performance indicators (KPIs) and embed in day-to-day activities.
