This role involves drafting, reviewing, and negotiating contracts, managing legal risks, and handling disputes or litigation. The Legal Counsel collaborates with various departments to align legal strategies with business objectives, ensures adherence to corporate governance standards, and provides guidance on regulatory matters related to lending operations.Duties and Responsibilities:Legal Advisory and Compliance
- Provide legal advice and guidance to the executives on corporate, regulatory, and operational matters.
- Ensure the Company’s compliance with applicable laws, regulations, and industry standards.
- Review and interpret new regulations and legislation to assess their impact on the Company’s operations.
- Develop and implement compliance programs to mitigate legal risks.
Contract Drafting and Review
- Draft, review, and negotiate contracts, loan agreements, MOUs, and other legal documents.
- Ensure that all contracts align with Company policies and protect the organization’s interests.
- Maintain a repository of legal documents, ensuring timely updates and renewals.
Risk Management
- Identify potential legal risks and recommend proactive measures to address them.
- Handle internal audits and investigations to ensure regulatory compliance.
- Advise on dispute resolution strategies to minimize exposure to litigation and financial penalties.
Litigation Management
- Represent the Company in legal proceedings, mediations, or arbitrations, as required.
- Manage relationships with external counsel, ensuring cost-effective and high-quality legal representation.
- Monitor and oversee the progress of ongoing litigation, keeping the executives informed of the developments.
Corporate Governance
- Assist in drafting and maintaining corporate policies, charters, and resolutions.
- Provide guidance for board meetings, including ensuring compliance with corporate governance requirements.
- Advise on shareholder matters and other corporate governance issues.
- Employee and Stakeholder Support
- Act as a legal resource for internal teams, providing training on legal and compliance matters.
- Address employee queries related to contracts, workplace policies, and other legal issues.
- Collaborate with stakeholder to resolve legal challenges in a timely and effective manner.
Regulatory Liaison
- Serve as the Company’s liaison with regulatory bodies and government agencies.
- Prepare and submit required reports and documentation to regulators on behalf of the Company.
- Respond to inquiries and inspections from regulatory authorities.
Professional Development and Research
- Stay updated on changes in laws, regulations, and industry practices affecting the Company.
- Attend legal seminars, workshops, and conferences to enhance expertise.
- Conduct legal research to provide well-informed recommendations to executives.
Other Legal-related Tasks
- Perform other legal-related tasks or responsibilities as directed by the VP for Business Development or other executives.
- Support special projects, campaigns, or initiatives as required to achieve business objectives.
RequirementsMust-have Skills / Qualification:
- Bachelor of Laws (LL.B) or Juris Doctor (J.D.) degree and a member of the Philippine Bar.
- At least 3-5 years of relevant experience in corporate or financial law, preferably in the lending, banking, or financial services industry.
- Proven expertise in contract drafting, review, and negotiation.
- Experience in regulatory compliance, litigation, and corporate governance.
- Strong understanding of Philippine laws, particularly in lending, banking, securities, and data privacy regulations.
- Familiarity with labor laws, taxation, and intellectual property is an advantage.
- Proficiency in drafting legal documents and communicating complex legal matters effectively.
