This role involves drafting, reviewing, and negotiating a wide variety of contracts with clients, vendors, and partners. The successful candidate will work closely with the business teams to ensure contracts align with company objectives, mitigate risk, and comply with legal and regulatory requirements.Key Responsibilities:Contract Drafting and Negotiation
- Draft, review, and negotiate commercial contracts, including client agreements, purchase orders, service agreements, non-disclosure agreements (NDAs), master service agreements (MSAs), and partnership agreements.
- Advise business units on the terms and conditions of contracts, identifying key risks, and suggesting modifications to protect the Company’s interests.
- Ensure all contracts comply with applicable laws, regulations, and Company policies.
Legal Advice and Strategic Guidance
- Provide legal counsel to internal stakeholders, including executives and department heads, on a wide range of commercial matters.
- Work with business teams to develop strategies for negotiating complex commercial terms and resolving potential disputes or contractual issues.
- Analyze the legal implications of various commercial business decisions and offer guidance on compliance, risk management, and business development.
Risk Mitigation and Compliance
- Identify legal risks in commercial contracts and work proactively to mitigate those risks.
- Assist in developing and implementing contract management processes to ensure compliance with internal policies and external regulatory requirements.
- Advise on commercial legal risks, including data privacy, intellectual property rights, liability, indemnification, and dispute resolution provisions.
Contract Management
- Oversee the lifecycle of commercial contracts, including ensuring timely renewals, amendments, and terminations.
- Maintain and manage a centralized database of executed contracts, tracking key terms, milestones, and obligations.
- Provide periodic reports on the status of contracts and identify any potential legal or business issues.
Collaboration with Business Units
- Work closely with the Business Development, Procurement, Finance, and Operations teams to understand their needs and support them in their contract negotiations.
- Act as a partner to the business, ensuring that contracts support the Company’s commercial goals while safeguarding its legal interests.
Dispute Resolution
- Advise on and assist in the resolution of contract disputes, including negotiation of settlement terms, enforcement of contractual rights, and escalation to litigation or alternative dispute resolution methods when necessary.
- Coordinate with external legal counsel on complex disputes, ensuring that the Company’s legal position is effectively represented.
Continuous Improvement
- Assist in developing and refining contract templates, policies, and procedures to improve the efficiency and effectiveness of the contract management process.
- Stay current on changes to commercial laws, regulations, and industry best practices, and ensure that the Company’s contracts and practices are updated accordingly.
Skills (Technical & Non-Technical)
- Proven experience in drafting, reviewing, and negotiating a wide variety of commercial contracts.
- Experience advising business teams on complex contractual issues and risk management.
- Knowledge of regulatory and compliance issues related to commercial contracts (e.g., data privacy, IP, export controls).
- Strong drafting, negotiation, and communication skills.
- Ability to interpret and apply laws, regulations, and policies to commercial contracts.
- Detail-oriented with strong organizational skills and the ability to manage multiple contracts and projects simultaneously.
- Strong interpersonal skills with the ability to work effectively with cross-functional teams.
- Sound judgment and decision-making abilities.
- Ability to manage outside counsel effectively when required.
Minimum Work Experience:
- Minimum of 15 years of post-qualification experience, preferably in a government or private practice setting.
- Defense experience would be an advantage.
Education & Certifications:
- Bachelor of Laws (LLB) or Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a relevant law society.
- Arabic and English proficiency is mandatory.
