We are seeking a motivated and skilled Junior Legal Counsel / Legal Counsel to join our dynamic legal team. The ideal candidate will have a strong background in commercial law, with experience in the technology sector being a significant advantage. We aspire to create a technology organization and an entrepreneurial ecosystem in the region that is recognized as second to none in the world.Key Responsibilities:Commercial Contract Review:

• Draft, review, and negotiate various commercial agreements, including SaaS, licensing, and partnership agreements.
• Ensure all contracts align with legal requirements and company policies.

Legal Research on IT/Data/AI Issues:

• Conduct thorough legal research on matters related to information technology, data protection, cybersecurity, and artificial intelligence.
• Provide timely updates on legislative changes affecting the tech industry.

Policy Making and Drafting:

• Assist in developing and drafting internal policies, including compliance protocols and corporate governance guidelines.
• Collaborate with cross-functional teams to implement policies effectively.

Regulatory Compliance:

• Liaise with the Securities and Exchange Commission of Pakistan (SECP) and Central Depository Company (CDC) share registrar.
• Ensure compliance with regulations applicable to public unlisted companies.
• Manage filings, disclosures, and communications with regulatory bodies.

Legal Opinions:

• Provide well-reasoned legal opinions on various corporate and commercial matters.
• Advise on risk mitigation strategies and legal implications of business decisions.

Employment Law Compliance:

• Oversee compliance with local employment laws, including SESSI, PESSI, and NIRC regulations.
• Address labor issues and represent the company in employment-related disputes.

Litigation Support:

• Assist in managing litigation matters and coordinate with external counsel.
• Represent the company before adjudication platforms and tribunals as needed.

International Experience:

• Experience in the MENA region is a plus.
• Assist with immigration and visa processing for MENA and US regions, including H1-B and EB2 filings.

Information Technology Expertise:

• Utilize knowledge of IT law to support the company’s technology initiatives.
• Advise on intellectual property rights, data privacy, and compliance with technology regulations.

Qualifications & Experience:
Education:

• Bachelor’s degree in Law (LLB) from a recognized institution.
• Master’s degree in Law (LLM) is a plus.

Professional Experience:

• Prior experience within the technology sector.
• Experience with compliance matters relevant to public unlisted companies.
• Familiarity with SECP and CDC procedures.

Licenses and Certifications:

• Enrollment as an Advocate of the High Court is preferred but not mandatory.

Skills and Competencies:

• Strong understanding of commercial and corporate law.
• Excellent legal drafting and negotiation skills.
• Proficient in legal research and analysis.
• Knowledge of local employment laws and regulatory compliance.
• Litigation experience is a plus.
• Ability to manage multiple tasks and meet deadlines.
• Strong interpersonal and communication skills.
• Proactive and able to work independently as well as part of a team.

Additional Preferred Qualifications:

• Experience with immigration processes, including H1-B and EB2 filings for the US.
• Exposure to legal matters in the MENA region.
• Prior work involving information technology, data protection, or AI.
• Ability to represent the company effectively before adjudication platforms.
• Litigation experience, including case preparation and courtroom representation.
