Job description: Key Responsibilities:
Legal Advisory and Contract Management:
– Serve as the dedicated legal partner for business teams, providing expert advice and support.
– Draft, review, and negotiate a wide range of commercial contracts, ensuring alignment with company policies and legal standards.
– Identify potential legal risks and propose practical, commercially viable solutions to mitigate these risks.
Corporate Transactions and Governance:
– Oversee the legal aspects of major corporate actions, including venture capital financing, mergers and acquisitions (M&A), initial public offerings (IPOs), and corporate restructuring on an international basis.
– Ensure strict compliance with international and local regulations, maintaining the highest standards of corporate governance.
Legal Infrastructure Management:
– Develop and maintain the company’s legal infrastructure, including policy creation, corporate record management, and intellectual property protection.
– Implement robust legal frameworks to support the company’s operational and strategic objectives.
– Intellectual Property Management: Develop and execute procedures for protecting patents, trademarks, and industrial designsDispute Resolution and Litigation Management:
– Manage and resolve disputes and litigation matters, coordinating with external counsel as needed.
– Provide strategic guidance to minimize legal exposure and protect the company’s interests.
Regulatory Compliance and Monitoring and collaboration:
– Monitor and analyze regulatory changes in China and key international markets to ensure the company remains compliant with evolving legal requirements.
– Collaborate closely with global legal teams to ensure consistency and alignment of legal strategies across regions.Qualifications & Experience:
– Law degree with 8+ years of legal experience (a mix of law firm and in-house experience is preferred)
– Experience in the tech/semiconductor industry is a strong advantage
– Demonstrated expertise in corporate transactions (M&A, IPOs,etc), intellectual property management, and international legal matters
– Expertise in handling both routine legal matters and complex corporate transactions internationally.
– Business-oriented mindset with the ability to balance legal risks and commercial needsCompetencies:

– Ability to simplify and articulate legal concepts effectively;
