Reporting to the Goodbody Company Secretary, you will help drive change in key areas to deliver a simple and efficient corporate governance structure for the Goodbody Board and Executive as well as ensuring Goodbody continues to meet its wider corporate governance obligations and deliver on strategic priorities. The role also encompasses the provision of secretariat support.Corporate Governance Manager Accountabilities include:Support the Company Secretary in managing the delivery of efficient, effective and high-quality company secretarial services to the Board, Board sub-committees, subsidiary companies and the Executive Team.Take responsibility for driving progress and delivery of the Team’s key strategic priorities and business as usual activity, including executive governance reviews.Ensure that subsidiary entities and their Directors are aware of and compliant with applicable company law, corporate governance and other statutory and regulatory obligations, including compliance with AIB’s internal governance and subsidiary management policies.Minute take, ensuring content and contributions at meetings are captured and all arising action items are managed effectively.Prepare top quality governance related papers in line with set guidelines.Liaising with relevant stakeholders to collate and distribute Board & Committee papers through Diligent.Support the preparation and organisation of Board and Committee meetings.Maintain the statutory registers (on Diligent Entities), minute books and other corporate records of Goodbody and its subsidiary companies.Monitor and respond to general company secretarial queries from internal and external stakeholders including regulatory requests, internal and external auditors, AML queries etc.Ensure that all regulatory and statutory filings are completed on a timely basis.Assist the Company Secretary in ad-hoc corporate governance projects.Qualifications and ExperienceMinimum 5 years’ experience gained from working in a corporate governance role or function in the recent past. The ideal / advantageous context for this experience would be a financial-services, regulated environment.Strong communication, stakeholder and people management skills, with the confidence and ability to influence stakeholders.Ability to work efficiently under pressure, in a fast-paced environment and manage competing priorities with tight deadlines.Ability to work collaboratively with others to achieve shared objectives.Previous minute taking experience in a regulated financial services firm would be a distinct advantage.For this role, there is a preference for professionally qualified candidates (ideally ICSA, ACA, ACCA, CIMA, or relevant post-graduate legal or business qualifications) or candidates undergoing, or about to commence, relevant exams.Ideal CharacteristicsA highly motivated and assertive self-starter leader with an eagerness to learn and the capacity to work as part of a team.Ability to handle multi tasks in a pressurised and demanding environment.Flexible, positive attitude in their approach to work.Excellent time management with the ability to work to tight deadlines and handle multiple demands.A professional manner – presentable and personable with a calm demeanourA team player but also with the ability to work on own.
