Job description: Our client, a leading international professional services firm, is seeking an experienced and driven Company Secretary or Governance Professional to join their expanding Entity Governance and Compliance team. This is a fantastic opportunity to work with a diverse portfolio of clients across multiple industries in a dynamic and supportive environment.The Role
This position involves providing high-quality outsourced company secretarial and governance services, leveraging state-of-the-art tools such as Diligent software and bespoke applications. You’ll be instrumental in ensuring compliance, supporting governance initiatives, and building lasting client relationships.Key Responsibilities

  • Organizing, attending, and preparing minutes for directors’ and shareholders’ meetings.
  • Drafting resolutions and documentation for corporate transactions.
  • Supporting restructuring projects for clients.
  • Assisting in governance service delivery and maintaining statutory registers.
  • Preparing and filing Companies Registration Office forms and ensuring timely compliance.
  • Liaising with regulatory authorities on corporate administrative matters.
  • Providing share scheme administration support and ensuring governance best practices.
  • Developing strong client relationships and offering advice on company law issues.
  • Managing billing processes and ensuring compliance with AML/KYC requirements.
  • Maintaining beneficial ownership registers and completing related filings.
  • Collaborating with internal teams on business development and client projects.

About You
The ideal candidate will have strong technical skills, an eye for detail, and a commitment to delivering exceptional client service. You will be:

  • Qualified or part-qualified with the Chartered Governance Institute (CGI).
  • Experienced, with at least 1 years in a similar role, whether in a professional services firm, legal practice, or in-house governance role.
  • An excellent communicator with strong interpersonal skills.
  • Highly organized, diligent, and detail-oriented.
  • Proactive, solutions-focused, and able to work independently or as part of a team.

Key Qualifications and Skills

  • A primary degree in Business, Law, or Accounting.
  • CGI qualification or currently pursuing CGI exams.
  • Knowledge of governance tools like Diligent is advantageous.
  • Strong organizational and project management skills.
